Özet
Denizyolu ile eşya taşımacılığında sıklıkla kullanılan bir taşıma belgesi olan konişmento, oldukça önemli işlevleri haizdir. 6102 sayılı Türk Ticaret Kanunu’nun (TTK) 1237/1. maddesi uyarınca düzenlendiği gibi, konişmentonun bu önemli işlevlerinden biri; taşıyan ile konişmento hamili arasındaki hukuki ilişkilerde esas alınmasıdır. Bu işlev, konişmento hamili ile taşı-tanın farklı kişiler olmalarına ya da aynı kişi olmasına göre iki boyutlu olarak tahlil edilmelidir. Nitekim aynı maddenin ikinci fıkrası uyarınca, taşıyan ile taşıtan arasındaki hukuki ilişkilerde navlun sözleşmesinin esas alınacağı düzenlenmekte ve bu durum, konişmento hamili ile taşıtanın aynı kişi olabileceği durumlarda (FOB satışlarda) esas alınacak belgenin tespiti gerekliliğini doğurmaktadır. Çalışmanın amacı, konişmentonun hukuki ilişkiyi belirleme işlevinin iki boyutuna işaret etmek ve özellikle konişmento ile navlun sözleşmesi hükümlerinin her ikisinin uygulanmasına cevaz veren ikinci boyutu 6102 sayılı TTK kapsamında değerlendirmektir.
Bill of lading which is frequently used in maritime freight transportation, has important func-tions. One of the important functions of bill of lading, as regulated in the 6102 numbered Turkish Commercial Code (TCC) article 1237/1, is its consideration in the legal relationships between carrier and its holder. This function should be evaluated in dual dimensions, based on the attribution of holder of bill of lading and shipper titles to different people or the same person. Whereas the second paragraph of the referred article regulates the consideration of freight agreement in the legal relationships between carrier and shipper and this situation endengers the requirement of determination of applicable document in case when the holder of bill of lading and shipper titles are attributed to the same person (FOB sales). The aim of the study is to point the dual dimensions of the legal relationship determination function of bill of lading and evaluate especially the second dimension of this function which provides the application of bill of lading and freight agreement together in the concept of 6102 numbered TCC.
