Özet
Limited şirketin temsili müdürlere ait bir yetkidir. Müdürlerin ilk esas sözleşmede gösterilmesi zorunludur. Ancak kanunda limited şirket müdürlerinin görev süresi konusunda bir düzenleme yer almamaktadır. Esas sözleşmeye konulacak hükümle bu sürenin uzun ya da kısa bir süre öngörülerek belirlenmesi mümkündür. Öte yandan müdürleri azletme ve yerlerine yenisini seçme yetkisi genel kurula bırakılmıştır. Görev süresi esas sözleşme ile belirlenen ve henüz süresi dolmayan müdürün azlinde, görev süresi biten veya daha önce genel kurul kararı ile seçilen müdürün azlinden farklı olarak, esas sözleşme değişikliğinde uygulanan usul ve nisabın uygulanması gerekmektedir.
Representation of limited liability companies is a authority given to the managers of the company. Appointment and presentation of the managers in the articles of association are obligatory. However, any regulation to the term of service fort he managers is provided under the law. It is possible to determine a limited or long term by regulating it under the articles of association. On the otherhand, the authority to dismiss a manager and to appoint antoher one in his place is given to the general assembly. While dismissing a manager, whose term of service is determined by the articles of association and whose term has not been completed yet, unlike the dismissal of a manager appointed by general assembly or a manager whose term has ended, the quorum and procedure for the general assembly will be the quorrum and procedure of the assemblies fort he amendment of the articles of association.
