| dc.description.abstract | Son yıllarda, Türkiye’de globallesme ve AB ile uyum süreci çerçevesinde baslatılan düzenleme ve reformların basında gelen ekonomik birimlerin iliskilerini belirleyen kurumsal yapı ve çerçevesinin iyilestirilmesi konusunda önemli adımlar atılmıstır. Kurumsal yapılandırma için hazırlanan düzenlemelerde, kurumsal yönetim, fınansal raporlama ve denetim ortamının degistirilmesinde ilerlemeler kaydedilmistir. Bu baglamda, yeni Türk Ticaret Kanunu Türkiye’deki sirketleri yönetim ve mali açıdan güçlendirmek ve çagdaslastırmak amacıyla tasarlanmıs, ekonomide esenlik fırsatı sunan önemli bir düzenlemedir. Çalısmanın amacı, yeni TTK’nun Türkiye’nin içinde bulundugu kosullar ve düzenlemenin önündeki engellerin degerlendirilerek sürecin gelisimi açısından alınması gereken önlemlere dikkat çekmektir. Özellikle, Türkiye’deki isletmelerin düzenlemelere karsı uyum yetersizligi düsünülürse, TTK’nun amacı ve basarılı tasarlanmıs olusu sürecin zorlu geçecegi gerçegini degistirmeyecektir. Sonuç olarak çalısma, bu nedenlerle düzenlemelerin desteklenmesi ve ekonomik birimlere uygulatılabilmesi için devletin yasal kurumlarının yaptırım gücünü öne çıkaracak kanuni temelin güçlendirilmesi ihtiyacına vurgu yapmaktadır. | en_US |
| dc.description.abstract | In recent years, within the globalization and the EU harmonization process in Turkey, important steps have been taken to reorganize the relationship of economic units by launching various regulations and reforms for the improvement of the corporate structure. Meanwhile, the regulations prepared for the institutional reconstruction happened to make progressive changes in the environment of corporate governance, financial reporting and auditing. In this context, the new Turkish Commercial Code (TCC) is an important regulation designed to strengthen the management and financial aspects of companies in Turkey offering the opportunity to modernize the economy. The purpose of this study is to evaluate the conditions in Turkey and obstacles in terms of the new TCC and draw attention to measures to be taken on the development of the process. Especially, considering companies’ poor ability to adapt regulations in Turkey, the purpose and successful design of the TCC will not change the fact that the process is a challenging one. Finally, the study emphasizes the need to strengthen the legal infrastructure for highlighting the enforcement of legal institutions’ sanction on the economic units to support regulations. | en_US |
